    AI Chat for Business is a product of Pinstripe Business Services LLC, a New York limited liability company.

    1. Acceptance of Terms

    By accessing, using, or subscribing to AI Chat for Business ("Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you must immediately discontinue use of our Service.

    YOU EXPRESSLY ACKNOWLEDGE THAT AI TECHNOLOGY IS RAPIDLY EVOLVING, EXPERIMENTAL IN NATURE, AND MAY PRODUCE UNEXPECTED, INACCURATE, OR UNDESIRABLE RESULTS. BY USING THIS SERVICE, YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH AI-POWERED TECHNOLOGY.

    2. Description of Service

    AI Chat for Business provides artificial intelligence-powered chatbot services that you may deploy on your own websites, applications, and digital properties. Our Service includes:

    • Chatbot creation, training, and deployment
    • Document processing and semantic search for knowledge bases
    • Multi-channel deployment across web, WhatsApp, Instagram, Messenger, Telegram, Slack, Discord, and email
    • Human handoff and agent inbox for live support escalation
    • Bot memory for long-term conversation context
    • Integration services (Google Drive, Notion, HubSpot, Shopify)
    • White-label and custom branding solutions
    • Referral program with commission credits
    • Analytics and reporting tools

    We use third-party AI providers (including OpenAI) whose technology is subject to change without notice.

    3. ASSUMPTION OF RISK - PLEASE READ CAREFULLY

    BY USING THIS SERVICE, YOU EXPLICITLY ACKNOWLEDGE AND ACCEPT THE FOLLOWING:

    • AI is Unpredictable: Artificial intelligence technology is inherently unpredictable and may produce incorrect, misleading, offensive, or inappropriate responses at any time without warning.
    • No Guarantees: We make absolutely no guarantees regarding the accuracy, reliability, appropriateness, or quality of any AI-generated content or responses.
    • Technology Changes: AI models and capabilities may change at any time. The AI provider (OpenAI or others) may update, modify, or discontinue features without notice, which may affect your bot's behavior.
    • Your Responsibility: You are solely and entirely responsible for reviewing, testing, and monitoring all bot interactions before and during deployment. You accept all consequences of bot behavior.
    • Voluntary Use: Your use of this Service is entirely voluntary. By continuing to use the Service, you confirm that you understand and accept these risks.

    4. BOT DEPLOYMENT & WEBSITE INTEGRATION DISCLAIMER

    WHEN YOU DEPLOY A BOT TO YOUR WEBSITE OR APPLICATION, YOU ASSUME COMPLETE AND TOTAL RESPONSIBILITY. WE ARE NOT LIABLE FOR:

    • Any issues, errors, or malfunctions caused by the bot on your website or application
    • Incorrect, misleading, or inappropriate responses given to your users or customers
    • Loss of sales, leads, customers, or business opportunities due to bot behavior
    • Damage to your brand reputation, customer relationships, or business standing
    • Technical conflicts, bugs, or performance issues with your website or application
    • SEO impact, search ranking changes, or indexing issues related to bot-generated content
    • Legal claims, lawsuits, or regulatory actions brought by your users or third parties
    • Data breaches or security incidents involving bot-collected information
    • Downtime, unavailability, or service interruptions affecting your bot
    • Any consequential, incidental, special, or punitive damages of any kind

    YOU AGREE TO THOROUGHLY TEST YOUR BOT IN A STAGING ENVIRONMENT BEFORE DEPLOYING TO PRODUCTION. DEPLOYING AN UNTESTED BOT IS DONE ENTIRELY AT YOUR OWN RISK.

    5. No Professional Advice Disclaimer

    AI bots created using our Service DO NOT provide professional advice of any kind.Bot responses should never be relied upon for:

    • Legal advice or legal decision-making
    • Medical, health, or therapeutic advice
    • Financial, investment, or tax advice
    • Professional services requiring licensure or certification
    • Emergency situations or crisis intervention
    • Any decisions that could significantly impact someone's health, safety, finances, or legal standing

    You must not configure your bot to appear to provide professional advice, and you are responsible for ensuring appropriate disclaimers are visible to your users. Any reliance on bot-generated content is at the user's sole risk.

    6. AI Technology Disclaimers

    AI is NOT a Replacement for Human Judgment: AI-generated content should always be reviewed by a human before being relied upon for important decisions. AI cannot understand context, nuance, or consequences the way humans can.

    Hallucinations and Errors: AI systems commonly "hallucinate" - generating confident but factually incorrect information. Your bot may provide responses that sound accurate but are completely false. This is a known limitation of current AI technology.

    Content Filtering Limitations: While we implement content moderation, AI may still generate inappropriate, offensive, or harmful content. No content filtering system is perfect.

    System Configuration Safeguards: We employ safeguards designed to prevent your chatbot's system configuration — such as its instructions, tone settings, and business rules — from being disclosed during conversations with end users. These measures are effective at blocking most attempts to extract this information. However, as with all AI-based safeguards, no protection is entirely impervious to every technique. Sophisticated or persistent attempts may, in rare cases, succeed in eliciting partial configuration details. For this reason, we recommend that you avoid placing highly sensitive or proprietary information directly in your bot's configuration if its exposure would cause significant harm. This is an inherent characteristic of current AI technology, not a deficiency specific to our platform.

    Third-Party AI Providers: We rely on third-party AI services (including OpenAI) that may change their models, policies, pricing, or availability at any time without notice to us or you.

    7. Changes to AI Technology

    AI Model Updates: The underlying AI models powering our Service may be updated, replaced, or modified at any time. These changes may significantly alter your bot's behavior, response quality, capabilities, or personality.

    No Consistency Guarantee: We do not guarantee that your bot will behave consistently over time. The same question asked today may receive a different answer tomorrow.

    Provider Changes: We reserve the right to change AI providers at any time. This may result in changes to bot behavior, capabilities, and response patterns.

    Feature Availability: AI features may be deprecated, removed, or significantly changed without advance notice as the technology evolves.

    8. Beta & Experimental Features

    We may offer beta, preview, or experimental features. These features are provided "AS IS" with absolutely no warranty whatsoever. Beta features:

    • May be incomplete, buggy, or unstable
    • May be discontinued at any time without notice
    • May have limited or no support
    • May not be covered by SLAs or uptime guarantees
    • Should not be relied upon for production or critical use cases

    Using beta features constitutes additional assumption of risk beyond the standard Service.

    9. User Accounts and Registration

    You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security. We reserve the right to terminate accounts that violate these Terms.

    10. Acceptable Use Policy

    You agree not to use our Service to:

    • Generate illegal, harmful, threatening, abusive, harassing, or defamatory content
    • Violate any applicable laws, regulations, or third-party rights
    • Infringe upon intellectual property rights of others
    • Distribute spam, malware, or other malicious content
    • Attempt to reverse engineer, hack, or compromise our systems
    • Exceed rate limits or abuse API usage
    • Create misleading, fraudulent, or deceptive content
    • Use the Service for any purpose that could harm minors
    • Impersonate any person or entity or misrepresent your affiliation
    • Create bots that provide medical, legal, financial, or other professional advice
    • Use the Service in a manner that could damage, disable, or impair the Service

    Violation of these terms may result in immediate termination of your account without refund.

    11. Billing and Payment Terms

    Interaction-Based Billing: Our Service operates on an interaction-based billing system. Each conversation/session with your bot counts as one interaction. Interaction limits vary by plan.

    Free Trial: New accounts receive a 14-day free trial with Starter plan features. Credit card information is collected at signup. At the end of the trial period, your card will be automatically charged for your selected plan unless you cancel before the trial ends.

    Subscriptions: Subscription fees are billed in advance on a recurring monthly or annual basis based on your subscription start date (not calendar months). All fees are non-refundable except as required by applicable law.

    Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel at any time through the Stripe customer portal in your account settings.

    Overage Billing: If you exceed your plan's monthly interaction limit and have enabled overage billing, you will be charged per additional interaction at your plan's overage rate. Overage rates: Starter $0.20/interaction, Growth $0.10/interaction, Professional $0.05/interaction. You may set monthly overage caps to limit additional charges.

    Usage Limits: If you reach your interaction limit and have not enabled overage billing, your bots will stop responding until your next billing cycle.

    Price Changes: We reserve the right to modify pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

    Plan Changes and Downgrades: When you move to a lower-tier plan, your new plan limits take effect at the start of your next billing cycle. If your current resource usage exceeds the new plan's limits (e.g., team members, bots, documents, or channels), you will be notified and given a reasonable transition period to bring your account into compliance.

    If you do not reduce your resource usage within the transition period, excess resources will be automatically deactivated (not immediately deleted) to bring your account within the new plan's limits. Deactivation priority is as follows: the most recently added resources are deactivated first, and the account owner is never removed.

    Deactivated resources are retained for 30 days and can be restored by upgrading your plan during that period. After 30 days, deactivated resources are permanently deleted and cannot be recovered.

    External channels (WhatsApp, Telegram, Slack, Discord, etc.) not supported by your new plan tier will be deactivated. Web widget deployment remains available on all plans.

    12. Referral Program Terms

    Our referral program allows eligible customers to earn commission credits by referring new paying customers to AI Chat for Business. By participating in the referral program, you agree to the following terms:

    12.1 Eligibility

    • Only customers with an active paid subscription may participate in the referral program
    • Trial users are not eligible to earn referral commissions
    • We reserve the right to exclude any customer from the program at our discretion

    12.2 Commission Structure

    • Bronze Tier: 15% commission (0-2 successful referrals)
    • Silver Tier: 20% commission (3-9 successful referrals)
    • Gold Tier: 25% commission (10-24 successful referrals)
    • Platinum Tier: 30% commission (25-49 successful referrals)
    • Diamond Tier: 35% commission (50+ successful referrals)

    Commission is calculated as a percentage of the referred customer's first monthly payment amount.

    12.3 Credit Application

    • Commissions are earned as account credits, not cash
    • Credits are automatically applied to reduce your next invoice
    • Credits are non-transferable and have no cash value
    • Unused credits do not expire while your account remains active

    12.4 Clawback Policy

    If a referred customer cancels their subscription within 30 days of their first payment, the commission credit will be reclaimed from your account. If your credit balance is insufficient, we may reduce future credits until the clawback amount is recovered.

    12.5 Prohibited Activities

    • Self-referrals (referring your own accounts) are prohibited
    • Referring accounts within the same organization is prohibited
    • Using fake, temporary, or disposable accounts to generate referrals
    • Purchasing ads using our brand name or trademarks to generate referrals
    • Any fraudulent or deceptive referral practices

    Violation of these rules may result in forfeiture of all credits, removal from the referral program, and potential account suspension.

    12.6 Program Changes

    We reserve the right to modify, suspend, or discontinue the referral program at any time with reasonable notice. Changes to commission rates or tier thresholds will apply to future referrals only. Earned credits remain valid subject to these Terms.

    12.7 No Guarantee of Earnings

    Participation in the referral program does not guarantee any specific earnings. Referral success depends on factors outside our control. We make no representations about potential earnings.

    13. Data Privacy and Security

    Your Data: You retain ownership of your content and data. By using our Service, you grant us a limited license to process your data solely for providing and improving our Service.

    Data Processing: We process data in accordance with our Privacy Policy and applicable data protection laws, including GDPR and CCPA where applicable.

    AI Processing: Content you upload and conversations with your bots may be processed by third-party AI providers (including OpenAI). We do not control how these providers handle data beyond our contractual agreements with them.

    Security: While we implement industry-standard security measures, no system is completely secure. You acknowledge the inherent risks of data transmission over the internet. We are not responsible for breaches caused by your own security practices or vulnerabilities.

    14. Intellectual Property Rights

    Our IP: The Service, including software, algorithms, designs, and trademarks, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute our technology.

    User Content: You retain rights to your original content but grant us a license to use, process, and store it for Service provision. You represent that you have the right to share all content you upload and that such content does not violate any third-party rights.

    AI-Generated Content: Content generated by AI systems may not be subject to copyright protection under current law. You are responsible for determining the intellectual property status of AI-generated content in your jurisdiction. We make no claims regarding ownership of AI outputs.

    15. Service Availability and Modifications

    We strive to maintain high service availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may impose usage limits and restrictions on certain features. Downtime may occur for maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from service unavailability.

    16. Third-Party Integrations

    Our Service integrates with third-party platforms including Google Drive, Notion, HubSpot, Shopify, and others. When you connect these integrations:

    • You authorize us to access only the data necessary for the requested functionality
    • You may revoke access at any time through your account settings or the third-party platform
    • We are not responsible for the availability, functionality, or policies of third-party services
    • Your use of third-party integrations is subject to their respective terms and privacy policies

    17. API Access and Automation Platform Terms

    Our Service provides programmatic access through APIs and integrates with third-party automation platforms. The following terms govern your use of these features.

    17.1 API Access

    • API access is available to Professional tier subscribers and may be extended to other tiers at our discretion
    • Access is granted via API keys generated in your account dashboard
    • API keys are confidential credentials; you are solely responsible for safeguarding them and preventing unauthorized use
    • You must not share, publish, or embed API keys in client-side code or public repositories
    • We may revoke API keys at any time for security reasons, suspected abuse, or violation of these Terms

    17.2 API Documentation

    Our API is documented with an OpenAPI 3.0 specification. Documentation is maintained and kept up-to-date with current endpoints, including:

    • API endpoint reference and usage examples
    • Authentication and authorization guide
    • Rate limiting and usage policies
    • Webhook and event documentation

    API documentation is available in your account dashboard and at our developer documentation portal.

    17.3 API Usage and Rate Limits

    • API usage is subject to rate limits of 60 requests per minute per endpoint
    • API interactions count toward your plan's monthly interaction limits and may incur overage charges as described in Section 11
    • Abuse, excessive usage, or circumvention of rate limits may result in temporary or permanent suspension of API access
    • We reserve the right to modify rate limits with reasonable notice

    17.4 Automation Platform Integration (Zapier)

    Our Service integrates with third-party automation platforms including Zapier. When using these integrations:

    • Zapier integration uses OAuth 2.0 for secure authorization; you authorize specific scopes of access when connecting
    • We are not responsible for Zap configurations, automation logic, or downstream actions triggered by Zapier or any automation platform
    • You must comply with both our Terms and the automation platform's own terms of service and policies
    • We may modify, suspend, or discontinue automation platform integrations at any time with reasonable notice
    • Actions performed through automation platforms are subject to the same usage limits, billing, and policies as direct API usage

    17.5 Third-Party API Usage Disclosure

    Our Service uses the following third-party APIs to deliver functionality:

    • OpenAI API — AI completions and text embeddings for chatbot responses and semantic search
    • Stripe API — Payment processing, subscription management, and billing
    • Meta Platform APIs — WhatsApp, Instagram, and Messenger channel delivery
    • Telegram Bot API — Telegram channel delivery
    • Slack API — Slack channel delivery
    • Discord API — Discord channel delivery
    • Resend API — Transactional email delivery (invitations, notifications)
    • Google APIs — Google Drive document ingestion
    • Notion API — Notion document ingestion
    • HubSpot API — CRM lead synchronization
    • Shopify API — E-commerce integration
    • Mixpanel API — Usage analytics
    • Sentry API — Error monitoring

    These services are governed by their respective terms of service and privacy policies. Changes to third-party APIs may affect Service functionality without prior notice from us.

    17.6 API Data and Privacy

    • Data transmitted via API or automation platforms is subject to our Privacy Policy
    • API consumers are responsible for securing any data received from our API in accordance with applicable laws
    • We log API usage for billing, security, and troubleshooting purposes

    18. Multi-Channel Deployment Terms

    Our Service allows you to deploy bots across multiple external platforms and channels including WhatsApp, Instagram, Facebook Messenger, Telegram, Slack, Discord, and email. When you deploy bots on external channels, the following terms apply:

    18.1 Platform-Specific Terms

    Each external platform has its own terms of service and policies. By deploying your bot on any external channel, you agree to comply with that platform's terms. This includes:

    • Meta Platforms: WhatsApp, Instagram, and Messenger are subject to Meta's Platform Terms and Commerce Policies
    • Telegram: Subject to Telegram's Terms of Service and Bot Guidelines
    • Slack: Subject to Slack's API Terms of Service and App Guidelines
    • Discord: Subject to Discord's Terms of Service and Developer Terms

    18.2 Your Responsibilities

    • You are responsible for obtaining any required approvals or verifications from external platforms
    • You must properly configure and test channels before using them with real customers
    • You are responsible for maintaining valid API credentials and tokens
    • You must comply with messaging regulations in your jurisdiction (e.g., consent requirements)

    18.3 Liability Disclaimer

    WE ARE NOT LIABLE FOR:

    • Message delivery failures on external platforms
    • Platform suspensions, bans, or account restrictions imposed by external platforms
    • API changes, deprecations, or service interruptions by external platforms
    • Compliance issues arising from your use of external channels
    • Any losses arising from external platform policies or enforcement actions

    18.4 Channel Availability

    External channels may be disabled, suspended, or removed at any time by the external platform or by us. We do not guarantee continued access to any specific channel. Channel availability may vary by subscription tier.

    19. Shopify Integration Terms

    When you connect your Shopify store to AI Chat for Business, your bot may perform automated actions on your behalf. By enabling the Shopify integration, you agree to the following:

    19.1 Bot Actions

    Your bot may be configured to perform the following actions on your Shopify store:

    • Apply discount codes to customer orders
    • Provide shipping updates and tracking information
    • Answer product questions using your catalog data
    • Assist with order status inquiries
    • Request order cancellations (always requires agent approval)

    19.2 Your Responsibility

    You are solely responsible for:

    • Configuring which actions your bot may perform
    • Setting appropriate approval workflows for high-impact actions
    • Ensuring discount codes and promotions are valid before enabling bot access
    • Monitoring bot-initiated actions for accuracy and appropriateness
    • Training your bot with accurate product and policy information

    19.3 Order Cancellation

    IMPORTANT: Order cancellations always require human agent approval and cannot be fully automated. The bot may only submit cancellation requests, which must be reviewed and approved by a human agent before execution.

    19.4 Liability Disclaimer

    WE ARE NOT LIABLE FOR:

    • Financial losses arising from bot-applied discounts or promotions
    • Inventory issues, stock discrepancies, or fulfillment problems
    • Customer disputes or chargebacks related to bot interactions
    • Revenue impact from incorrectly configured bot actions
    • Any damages arising from Shopify API changes or limitations

    19.5 Audit Trail

    All bot-initiated Shopify actions are logged with timestamps and details for audit purposes. You may review these logs in your dashboard at any time.

    20. White-Label and Custom Solutions

    White-label and custom solutions are provided "as is" without additional warranties. Custom domain usage and branding modifications are your responsibility to configure correctly. We are not responsible for DNS, SSL, or configuration issues with custom domains.

    21. LIMITATION OF LIABILITY

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

    WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, GOODWILL, DATA, CUSTOMERS, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    WE ARE NOT LIABLE FOR ANY DAMAGES ARISING FROM: (A) BOT BEHAVIOR OR RESPONSES; (B) DEPLOYMENT OF BOTS ON YOUR WEBSITES OR EXTERNAL CHANNELS; (C) RELIANCE ON AI-GENERATED CONTENT; (D) ACTIONS TAKEN BY YOUR USERS BASED ON BOT INTERACTIONS; (E) THIRD-PARTY AI PROVIDER CHANGES OR FAILURES; (F) SERVICE INTERRUPTIONS OR DOWNTIME; (G) DATA LOSS OR SECURITY INCIDENTS; (H) REFERRAL PROGRAM PARTICIPATION; (I) SHOPIFY OR OTHER INTEGRATION ACTIONS; (J) API USAGE OR AUTOMATION PLATFORM INTEGRATIONS; (K) PLAN DOWNGRADES, RESOURCE DEACTIVATION, OR DATA DELETION FOLLOWING ACCOUNT CANCELLATION OR PLAN CHANGES; OR (L) ANY OTHER USE OF OUR SERVICE.

    OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

    SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

    22. Disclaimers

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

    WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO: MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, COMPLETENESS, AND QUALITY OF AI OUTPUTS.

    WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE; (C) THE SERVICE WILL MEET YOUR REQUIREMENTS; (D) ANY ERRORS WILL BE CORRECTED; OR (E) BOT BEHAVIOR WILL BE CONSISTENT OR PREDICTABLE.

    NO WARRANTY IS PROVIDED FOR BOT PERFORMANCE ON THIRD-PARTY WEBSITES, APPLICATIONS, OR EXTERNAL CHANNELS. YOU DEPLOY BOTS ENTIRELY AT YOUR OWN RISK.

    23. Indemnification

    You agree to indemnify, defend, and hold harmless AI Chat for Business, Pinstripe Business Services LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:

    • Your use of the Service or any bot you create or deploy
    • Claims brought by your users, customers, or any third party
    • Bot behavior, responses, or interactions on your websites, applications, or external channels
    • Violation of these Terms or any applicable law
    • Infringement of any third-party rights
    • Your content or data uploaded to the Service
    • Your negligence, willful misconduct, or failure to properly test and monitor bots
    • Actions taken through Shopify or other integrations
    • API usage, automation configurations, or third-party platform integrations
    • Referral program violations or abuse

    24. Termination

    24.1 Termination by Us

    We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, us, or third parties, or for any other reason. Upon termination by us: (a) your right to use the Service ceases immediately; (b) any outstanding fees become immediately due; (c) unused referral credits are forfeited; (d) provisions that by their nature should survive termination will survive, including ownership, warranty disclaimers, indemnity, and limitations of liability.

    24.2 Cancellation by You

    You may cancel your subscription at any time through the Stripe customer portal accessible from your account settings. Upon cancellation, your subscription remains active through the end of your current billing period. After your billing period ends, your account is moved to a limited access state. You will be given a reasonable transition period to export your data and reduce your resource usage before enforcement measures take effect.

    24.3 Effect of Termination or Cancellation on Your Data

    Upon termination or cancellation, you will have a limited period to download or export your data. After the transition period, resources exceeding the base plan limits will be deactivated. Deactivated resources — including bots, documents, team member access, and channel configurations — are retained for 30 days.

    After 30 days, deactivated resources are permanently and irrevocably deleted, including all associated conversation history, knowledge base documents, embeddings, and channel configurations. The account owner's profile and core account data are retained until you explicitly request account deletion.

    Team members who lose access due to a plan change or cancellation will be notified via email before their access is removed.

    24.4 Data Export

    You may export your data at any time while your account is active. We recommend exporting your data before cancelling your subscription. After cancellation, data export may be limited to the transition period described above.

    24.5 Reactivation

    If you upgrade your plan within 30 days of resource deactivation, previously deactivated resources may be automatically restored. After 30 days, deactivated resources are permanently deleted and upgrades will not restore them. Reactivated resources are subject to the limits of your new plan.

    25. Export Controls

    The Service may be subject to export control laws and regulations of the United States and other countries. You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country and are not on any U.S. government list of prohibited persons.

    26. Governing Law and Dispute Resolution

    These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles.

    Arbitration: Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in New York. You waive any right to a jury trial or to participate in a class action.

    Exceptions: Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm. Claims eligible for small claims court may be brought there.

    We respect intellectual property rights and will respond to clear notices of alleged copyright infringement in accordance with the Digital Millennium Copyright Act.     29. Severability and Entire Agreement

    If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid while preserving its intent.

    These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and AI Chat for Business regarding the Service.

    30. No Waiver

    Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. Any waiver must be in writing and signed by us to be effective.
